What you agree to.

Helios is faction operations software for BRM5 communities, operated by Helios Systems Development Group. Helios is licensed, not sold — buying access gives you the right to use it, not ownership of it. By installing, activating, or using Helios you accept these terms.

What you may do

With a valid, unexpired license key you may install and use Helios on the devices you personally use, use it with the faction card the key was activated onto, and use it for any lawful purpose — including streaming or recording.

A license key is single-use. Once it is activated onto a faction card it belongs to that card and cannot be activated again.

What you may not do

• Copy, publish, sell, rent, sublicense, or otherwise redistribute Helios or a license key.
• Share a key outside the faction card it is activated onto, or sell or trade keys.
• Reverse engineer, decompile, or disassemble Helios, except where law expressly allows it regardless of this restriction.
• Modify Helios, or build anything from it that is presented as Helios or as endorsed by Helios.
• Circumvent, disable, or tamper with licensing, activation, or any access control.
• Use Helios to break the rules or terms of any game, platform, or service you use it alongside.

Subscriptions and expiry

Access is tied to the expiry date on your license key.

• A subscription key renews automatically while billing succeeds, and its expiry moves forward with each successful payment.
• If a payment fails and is not recovered, the key lapses on its existing expiry date and access stops.
• Cancelling stops future renewals. The key stays usable until the date already paid for.
• A key issued directly by Helios has no subscription behind it and simply lapses on its date.

Deleting a faction card does not cancel billing. Cancel the subscription separately from your account page if that is what you intend.

Payment and refunds

All sales are final. Helios does not offer refunds. Review the features, compatibility, billing interval, and these terms before purchasing. This does not affect any refund right that applicable consumer law gives you and that cannot be waived by agreement.

Payment is handled by Stripe. Helios never receives or stores your card number.

Suspension and termination

These terms end immediately if you breach them. Helios may also suspend or terminate an account or key for abuse, fraud, chargebacks, or attempts to circumvent licensing. When that happens you must stop using the software.

Updates and availability

Helios may deliver updates automatically, and those updates are covered by these terms. Helios does not promise that any particular feature will continue to exist, or that the software will stay compatible with any third-party game or platform.

Your content

You keep ownership of what you put into Helios. You grant Helios only the permission needed to store and transmit it so the software can work — for example, syncing your roster, plans, and simulated medical state to the people on your faction card. What Helios holds and why is set out in the privacy policy.

No warranty

Helios is provided “as is”, without warranty of any kind, express or implied, including the warranties of merchantability, fitness for a particular purpose, and noninfringement. Helios does not warrant that the software will be uninterrupted, error free, or available at any particular time.

Limitation of liability

To the maximum extent permitted by law, Helios is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, or goodwill. Total liability is limited to the amount you paid for Helios in the twelve months before the event giving rise to the claim.

Nothing here limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence, or for fraud.

Third-party components

Helios includes third-party open-source components, each under its own license. Those licenses continue to apply to those components and nothing here overrides them.

Changes

If these terms change materially, the date at the top will change and the change will be announced before it takes effect. Continuing to use Helios after that means the updated terms apply.

Governing law

These terms are governed by the laws of the State of California, United States, without regard to its conflict of law rules. Any dispute arising out of them or out of your use of Helios will be brought exclusively in the state or federal courts located in San Mateo County, California, and both you and Helios consent to the jurisdiction of those courts.

If you are a consumer, this does not remove any right you have under the mandatory law of the country you live in, including any right to bring proceedings in your local courts.
